A heavy Tuesday: **more than 1,500 filings screened**, with the substance spread across a government divestment, a boardroom governance dispute, a wave of order wins and capital raises, and a cluster of going-concern and distress filings. As always, everything below is checked against the primary document, and where a filing discloses no value — or is only a clarification of a rumour — we say so rather than invent a number.

## The one to read first

- **[Rashi Peripherals (RP Tech)](https://nsearchives.nseindia.com/corporate/RASHI2024%5F25082026120329%5FResignation%5Fof%5FIndependent%5FDirector.pdf)** — an independent director resigned citing governance concerns about due-diligence firms tied to two of the company's own independent directors (including the Audit Committee Chairman) working on an acquisition those directors then approved. The company filed a point-by-point rebuttal the same day, calling the engagements disclosed and arm's-length. ## Deals and restructuring

- **[HEG](https://nsearchives.nseindia.com/corporate/HEG%5F25082026170347%5FHEG%5FFinal%5FPress%5FRealease%5FIntimation.pdf)** — composite scheme confirmed: the graphite business demerges into a separately listed HEG Graphite Ltd (1:1), effective **1 September**, record date 7 September; group company Bhilwara Energy amalgamates in (8:7).
- **Sudarshan Chemical** — its Swiss subsidiary signed an agreement to buy Clariant's Muttenz aluminium-dyes plant (the Sanodal/Sanodure brands), completion targeted early January 2027\. **No price was disclosed.**
- **Data Patterns** — to acquire 100% of ST Advanced Composites for about **₹10 crore**. **Capital Numbers** — completed its 100% buy of US-based Epitome Cloud for **₹40 crore**.
- **Varun Beverages** — set up a new arm, "KIVA Spirits," to enter the ready-to-drink alcohol space, plus a 75:25 Tunisia soft-drinks JV.
- **Honasa Consumer (Mamaearth)** — called off its planned 58% acquisition of Fluence Pharma, citing non-fulfilment of closing conditions. A reversed inorganic move on a widely-followed consumer name.
- What *didn't* happen: **Jana Small Finance Bank** clarified a media report of a merger with Federal Bank — it "evaluates all opportunities," with **no binding deal**. A clarification, not a transaction.

## Order wins

- **[VA Tech WABAG](https://nsearchives.nseindia.com/corporate/VATECH%5F25082026080117%5FSIKuwaitContract25082026.pdf)** — signed a 60-MIGD (\~272 MLD) seawater desalination contract for Doha, Kuwait (in a JV, DBO plus five-year O&M) — its first project in Kuwait. **Contract value not stated** in the filing.
- **Suzlon** — a 250 MW order from Torrent Power, taking the partnership to 1,306 MW. **ACME Solar** — won 300 MW in SECI's FDRE-IX auction at **₹6.00/ kWh**.
- **Sigma Advanced Systems** — an additional Rolls-Royce contract worth about **£125 million (\~₹1,600 crore)** via Bromford. Smaller books: **Allen Reinforced** (BrahMos Aerospace, ₹60.01 crore) and **ARSS Infra** (East Coast Railway ROB, ₹104.06 crore).

## Capital actions

- **[Ather Energy](https://nsearchives.nseindia.com/corporate/ATHERENERGY%5F25082026193729%5FSEIntimationAllotmentFINAL1signed.pdf)** — a preferential issue of **₹199.99 crore** of equity to the India Japan Fund plus **₹999.99 crore** of warrants to Hero MotoCorp and the founders, which would take Hero to about 29.88% fully diluted.
- **Gujarat Themis Biosyn** — opened a QIP at a **₹372.57** floor. **Gandhi Special Tubes** — a buyback of up to 7.14% of equity at **₹900** a share (₹78.13 crore). **Jay Kay** — a 3:19 rights issue at ₹75 (₹154.29 crore).

## Rating, regulatory and legal

- **IIFL Finance** — disclosed a **₹963.39 crore tax demand** on its subsidiary IIFL Home Finance, plus an update on its own ₹475.56 crore block-assessment demand; recovery is stayed. A sizeable contingent liability on a widely-held NBFC.
- **PNB Housing Finance** — a credit-rating upgrade.
- **Max Financial Services** — SEBI passed a final order **disposing its proceedings against the first twelve noticees (including Axis Max Life) without penalty**; settlements for the remaining directors are pending.
- **Unitech** — the Supreme Court / MCA-approved slate installed a new Chairman & Managing Director, Giridhar Aramane (a retired IAS officer).

## The going-concern cluster

Four filings at the distressed end of the tape, all worth logging:

- **Sahara One Media** — a qualified audit opinion flagging **material going-concern uncertainty**; the auditor notes SEBI penal action for disclosure non-compliance and that trading in the shares has long been suspended. FY revenue collapsed to ₹2.05 lakh.
- **STC India** — a qualified FY26 audit prepared on a **non-going-concern basis**, with the company flagging over ₹1,000 crore of under-provided and unconfirmed receivables and no full-time working directors.
- **Sadbhav Engineering** — SBI and ICICI joined as assenting lenders to a **₹194.93 crore** debt restructuring, which brings a mandatory conversion of interest and promoter debt into equity.
- **Satiate Agri** — admitted to insolvency (CIRP) by the NCLT, with a **3 September** deadline for creditor claims.

Also adverse: **Wockhardt** disclosed a customs adjudication order carrying about **₹16 crore** in penalties over an API classification dispute (it is appealing).
