A busy Wednesday: **1,452 filings screened**, the day carried by a big transmission win, a wave of capital-return and restructuring filings, a cluster of large-cap ownership and pledge moves, and — at the analytical centre — a clean pricing-power result at Avanti Feeds. As always, every figure is checked against the primary document, and where a filing is only an MOU, a rumour-response, or discloses no value, we say so.

## The one to read first

- **[Avanti Feeds](https://nsearchives.nseindia.com/corporate/AVANTIFEEDS%5F26082026161510%5FAFL%5FPresentation%5FQ1%5FFY%5F27%5F-%5FSE.pdf)** — its shrimp-feed arm sold 17% more feed and booked 26.8% more segment revenue last quarter, and its segment EBITDA margin still **halved, from 18.8% to 7.5%**. ## Deals and restructuring

- **[Adani Energy Solutions](https://nsearchives.nseindia.com/corporate/ADANITRANS%5F26082026090003%5FAESL%5FPress%5FRelease%5FSatara%5FTransmission%5FProj%5Fwin%5F.pdf)** — won a **₹4,700 crore** inter-state transmission project as lowest bidder (+562 ckm, 9,000 MVA), taking its order book to roughly ₹85,000 crore.
- **Mankind Pharma** — will voluntarily liquidate and absorb its subsidiary Bharat Serums & Vaccines into the parent, buying out a 4% minority at fair value. **Ambuja Cements** — NCLT-convened shareholder meeting on 28 September for the Orient Cement amalgamation. **IRB Infrastructure** — a scheme merging nine subsidiaries, plus a ₹351 crore InvIT preferential.
- **Cyient** — the CCI cleared its acquisition of Tao Digital Solutions. **Time Technoplast** — an in-principle merger of 74.86%-held TPL Plastech.
- **Devyani International** — the Sapphire share-purchase agreement with Arctic was **terminated**, though the amended merger scheme proceeds (177:100).
- What *didn't* happen: **NITCO's** "₹4,500 crore" tie-up is an **MOU** with a five-year revenue expectation, not a signed contract; **HAL–Safran's** new "Aravalli" engine JV disclosed **no value or timeline**; and **KIMS** denied a media report of a Renova stake sale. None is a booked transaction.

## Order wins

- **GK Energy** — a **₹454.50 crore** rooftop-solar empanelment (100 MW). **Ceigall India** — declared L1 on a 765/400 kV TBCB transmission line. **MTAR Technologies** — purchase orders of **₹126.74 crore**.

## Ownership, pledges and control

- **[Asian Paints](https://www.bseindia.com/xml-data/corpfiling/AttachLive/F60AFEC7%5F9F61%5F4CA0%5F8546%5FC340D722677F%5F193539.pdf)** — a promoter entity (Smiti Holding & Trading) pledged **3.57% of the company** (about 3.42 crore shares) to Jio Credit, lifting total promoter-group encumbrance to **5.08%**. A fresh pledge on a NIFTY-50 name is worth flagging on its own.
- **[Zee Entertainment](https://www.bseindia.com/xml-data/corpfiling/AttachLive/4044B7F9%5FF006%5F4B1E%5F9905%5F3A1A39DDCFAC%5F105746.pdf)** — the promoter group (Sunbright Mauritius) acquired convertible warrants equal to **17.90% of the diluted capital** — a near-18% promoter re-up on a heavily-followed media name.
- **Aster DM Healthcare** — Deutsche Bank, as offshore security agent, created an indirect encumbrance over **2.29%** of the company to secure a USD 160 million promoter facility plus a new USD 50 million tranche.
- **[Medplus Health Services](https://www.bseindia.com/xml-data/corpfiling/AttachLive/C8F9B181%5F3E44%5F428E%5FBEEE%5F46DB3D4A8617%5F164152.pdf)** — a promoter entity pledged a further 0.42%, specifically to restore a security-cover shortfall on an existing NCD facility, taking the encumbered share of the promoter holding to **69.65%**. A cover-ratio-triggered pledge is a genuine promoter-leverage flag, not routine housekeeping.
- **Jyoti CNC Automation** — promoter pledges created to Tata Capital and Jio Credit, together about 1.5% of the company.
- **DCB Bank** — responded to media reports that it is in talks with private equity for a capital infusion; the shares rose about 5.5%. The company's confirmation is still pending — a rumour-response, not a disclosed deal.

## Capital actions

- A capital-return cluster: **Mold-Tek Packaging** (1:1 bonus + ₹3 dividend) and **Mold-Tek Technologies** (1:1 bonus + ₹2); **SIS** running a daily buyback; **Man Infraconstruction** to consider a buyback on 1 September.
- **ICICI Prudential AMC** — an offer-for-sale of up to 2%. Dividends across **Vinati Organics** (₹8.50), **Arvind** (₹4.50) and **Atul Auto** (₹3), among others.

## Management, board and auditor changes

- **Hikal** — Sameer Hiremath to become Chairman & Managing Director from October. **Jio Financial Services** — re-appointed Hitesh Sethia MD & CEO for five years.
- An **auditor-exit cluster**: statutory auditors resigned or were changed at Shree Rajasthan, Retaggio, and ESL Steel (Lodha & Co.), alongside several CFO/CS departures — worth logging as a governance texture, not a single event.

## Rating actions

- **Sammaan Capital** — upgraded to **AAA/Stable**, completing its move to the top grade across agencies. **NELCO** — placed on **"Rating Watch with Developing Implications"** after a ₹191 crore direct-to-device satellite commitment; the day's most cautionary rating signal.

## Regulatory, legal and distress

- **[Reliance Communications](https://www.bseindia.com/xml-data/corpfiling/AttachLive/b66057ab-9cdb-41a2-9069-19dfc604c9b6.pdf)** — the PMLA Adjudicating Authority confirmed the attachment of **₹581.65 crore** of the company's property, tied to alleged fund diversion; RCom is already under insolvency.
- **Simbhaoli Sugars** — a Q1 net loss of about ₹25 crore and an **adverse audit conclusion**; the company has been under insolvency since 2024, compounded by a pollution-board stop order and a lender fraud classification.
- Smaller items: **Midhani** drew exchange fines for a disclosure lapse, and **G R Infraprojects** disclosed a GST show-cause notice.
