A heavy Thursday: **1,786 filings screened**, a distress-and-shell-heavy tape with a layer of genuine large-cap capital-return, order news, and one sharp government-contract reversal underneath. Everything below is checked against the primary document, and where a filing is an LOI, a procedural notice, or discloses no value, we say so.

## The one to read first

- **[RPP Infra](https://nsearchives.nseindia.com/corporate/RPPINFRA%5F27082026170207%5FSDAT%5FTermination-SE%5FIntimation.pdf) & [Tejas Networks](https://nsearchives.nseindia.com/corporate/TEJASNET%5F27082026183323%5FIntimation-Letter%5Fof%5FIntent%5Ffrom%5FTCS.pdf)** — on the same day, one company had a ₹205.89 crore Tamil Nadu state order cancelled (with a "no compensation" clause invoked, after it had already spent on the project), and another won a ₹1,537 crore order from TCS for BSNL's 4G network — that isn't a firm order yet, only a letter of intent. ## Deals and restructuring

- **Adani Enterprises** — its AdaniConneX arm acquired 100% of a data-centre entity (CIPL) from group company Adani Power for **₹535.69 crore**; a related-party transaction.
- **Ambuja Cements** — NCLT-convened shareholder meetings on **28 September (Orient Cement)** and **29 September (ACC)** for the amalgamations into Ambuja. Procedural meeting notices, not fresh deals.
- **Texmaco Rail** — a non-binding MoU with Germany's BVV for a railway-wheels joint venture. An MoU, not a signed deal.

## Order wins

- **Capacite Infraprojects** — an LOI worth about **₹741 crore** from Mahindra Lifespace. **ACME Solar** — tied up **₹1,571 crore** of IIFCL project finance for a 300 MW, 19-year solar project (project debt, not equity dilution). **GK Energy** — a 100 MW rooftop-solar empanelment, cumulative order book past ₹1,092 crore.

## Capital actions

- **[Great Eastern Shipping](https://nsearchives.nseindia.com/corporate/GESHIP%5F27082026173456%5Fbmoutcome.pdf)** — an open-market buyback of up to **₹900 crore** (minimum ₹675 crore) at up to ₹1,530 a share, with promoters not participating.
- **[Hero MotoCorp](https://nsearchives.nseindia.com/corporate/HEROMOTO%5F27082026204708%5FRegulation30disclosure.pdf)** — its board approved raising its stake in **Ather Energy** further, a roughly **₹1,758 crore** commitment that would take its fully-diluted holding from about 29.88% toward \~32.8% — Hero deepening its EV bet.
- **[ICICI Bank](https://www.bseindia.com/xml-data/corpfiling/AttachLive/37d8d8b0-a77e-4607-b1ae-1fca8534f203.pdf)** — priced **US$1 billion** of senior notes through its IFSC unit (BBB/Baa3). **Bajaj Finance** — a **₹5,000 crore** NCD private placement.

- **Hindustan Copper** — its AGM notice carries an enabling resolution for a QIP of up to about 9.7 crore shares, plus ₹500 crore of NCDs — a forward fundraise authorisation, pricing not yet set. **TVS Holdings** — an NCLT-sanctioned 6% preference-share bonus.

## Ownership, pledges and control

- **Rubicon Research** — promoter General Atlantic Singapore sold **1.4 crore shares (8.45%)**. **Lenskart** — SoftBank's SVF II sold **4.5 crore shares (2.59%)**. **Gateway Distriparks** — EBISU sold **6.572%**. Large-holder trims across three recent-IPO / widely-held names.
- **Ajanta Pharma** — a promoter entity (Gabs Investments) reported a release-and-creation of pledge over about **2.22%** of the company; a rollover rather than fresh net pledging, but worth logging on a NIFTY-500 name.

## Rating and regulatory

- **Zee Entertainment** — the Securities Appellate Tribunal, in a 27 August order, extended by one working day the window for the promoter's preferential warrant issue, under a **partial stay of a SEBI order** — a live regulatory overhang on the promoter's capital infusion worth watching.
- The day carried roughly twenty credit-rating intimations (Bajaj Finance, IDBI, Union Bank, JK Tyre, Gabriel among them), but **none disclosed a rating direction or new grade** in the filing summaries — a coverage caveat, not a clean read, and no downgrade to flag.

## The distress tail

- **Som Distilleries (SDBL)** — standalone pre-tax profit collapsed to about **₹2.3 crore from ₹52.7 crore** a year earlier, with the auditor drawing attention to a Bhopal plant licence-renewal matter under a High Court order.
- **India Agiv (INDAGIV)** — a **qualified audit opinion** flagging an undisclosed interest liability of ₹352 lakh, a bank account under an income-tax lien, default in statutory dues, and a negative net worth on an adjusted basis.
- **Mazagon Dock (MAZDOCK)** — the secretarial auditor observed that the FY26 board was **non-compliant** with requirements for independent, non-executive and independent-woman directors — a governance flag on a defence PSU.
- Deeper distress: **Harrisons/Harafin** — a voluntary delisting, the entity being wound up; **Sun Granite** and **Unitech International** — creditor committees progressing; **Trinity Tradelink** — under SARFAESI with net worth eroded.
