A month-end Friday: **976 filings screened**. The day's biggest news was a regulatory clearance, its most useful thread a split-screen on pricing power, and underneath, a steady run of capital-return, order and ownership filings. As always, everything below is checked against the primary document, and where a figure isn't disclosed or a filing is only procedural, we say so.

## The big one

- **[Reliance / Jio Platforms](https://nsearchives.nseindia.com/corporate/PVIVINMA%5F28082026183323%5FRIL%5FSE%5F28082026.pdf)** — Reliance disclosed that SEBI has issued its **observation letter on the draft prospectus for the Jio Platforms IPO** — the regulatory step that clears the offering to proceed toward what would be one of India's largest-ever public issues. A landmark filing that the day's noise nearly buried.

## The one to read first

- **EPL, Kitex & Avanti** — three companies, one cost shock, three answers. EPL passed the entire raw-material, freight and currency increase through and held its 18.8% margin; Kitex was **downgraded** as its EBITDA margin fell from 20.34% to **0.21%** absorbing US tariffs it couldn't pass to five customers who are \~100% of its revenue; Avanti raised prices 10% and still bled, because the Andhra Pradesh government has a statutory "say in prices." What separates them isn't effort — it's who holds the price lever: [Who Holds the Price Lever?](https://www.moatmarginresearch.com/who-holds-the-price-lever/).

## Deals and restructuring

- **Kronox Lab Sciences** — an open offer by Indo Borax & Chemicals (with Zenrock Chemicals as PAC); the detailed public statement is out, offer price in that document.
- **[Power Grid](https://nsearchives.nseindia.com/corporate/POWERGRID1%5F28082026181534%5FBSENSEReg30dt28082026Acq%5Fv1.pdf)** — won 100% of the Fatehgarh-II transmission SPV under tariff-based competitive bidding. **Patel Engineering** — completed the sale of a **32% stake in ACP Tollways for ₹55 crore**, a cash inflow.
- **[Foseco India](https://www.bseindia.com/xml-data/corpfiling/AttachLive/CFFBADD1%5F3BF0%5F4007%5F866B%5FE97ABEE80162%5F152139.pdf)** — its MNC parent, Morgan Advanced Materials, is materially cutting its India holding: a promoter entity sold 7.84%, taking combined promoter holding from **15.27% to 7.43%**.

## Order wins

- **KP Green Engineering** — fresh confirmed orders of **₹258.02 crore** (a separate entity from KPI Green Energy). **ACME Solar** — a 300 MW SECI FDRE-IX letter of award at **₹6.00/kWh** on a 25-year PPA. **KPI Green Energy** — commissioned 200 MW at Khavda. **VA Tech Wabag** — told its AGM the order book now exceeds **₹17,200 crore**.

## Results

- **[JSW Cement](https://nsearchives.nseindia.com/corporate/JSWCL%5F28082026175358%5FSE%5FIntimation%5FInvestor%5FPresentation%5F%5F%5F1%5F.pdf)** — Q1 revenue **₹1,896 crore, up 21.6%**, though EBITDA fell 7.5%; the company's presentation cites an **84% all-India share in GGBS** (slag cement) — a genuine scale position. **Patel Retail** — Q1 revenue up **69.6%** to ₹309.5 crore.

## Capital actions

- Dividends: **Ambika Cotton ₹37 (370%)**, Finolex Pipes (final + special), Biocon ₹0.50, and others. Fundraises: QIP allotments/closes at **Gujarat Themis, UGRO Capital and Piramal Finance**; **Kalind** approved ₹316 crore of convertible warrants to two non-promoter LLPs.

## Ownership, pledges and control

- **[ICICI Prudential AMC](https://nsearchives.nseindia.com/corporate/AMCSECRETARIAL%5F28082026120522%5FICICIINTIMATIONPOSTSALE.pdf)** — promoter Prudential sold **2%** (holding 87.60% → 85.60%) in the open market, toward minimum-public-shareholding compliance.
- **International Conveyors (INTLCONV)** — promoter encumbrance jumped from **50.69% to 63.93%**, the fresh pledge securing a *third-party* loan that part-finances an acquisition, with a disclosed security-cover ratio of zero — pledge leverage for non-operational use.
- **Panorama Studios** — a promoter pledge **created over 6.27%** of the company to Motilal Oswal. **LCC Infotech** — a 13.72% off-market share purchase. **Groww** (Ribbit) and **Chambal Fertilisers** (Earthstone) each saw substantial-acquirer (SAST) disclosures.

## Management and regulatory

- **[TVS Motor](https://nsearchives.nseindia.com/corporate/TVSMOTOR%5F28082026103636%5FBSENSEPRESSRELEASESD.pdf)** — appointed **Peyman Kargar as Director & CEO**, effective 27 January 2027 — a notable top-of-house change at a bluechip. **Ola Electric** — its company secretary resigned.
- **Aurobindo Pharma** — a US FDA inspection at its Apitoria API unit (Unit-VI, Andhra Pradesh) **closed with three Form-483 observations**, described as procedural. **Juniper Hotels** — denied a media report of an FSSAI hygiene action.
- Distress: **BKM Industries** entered insolvency (CIRP); **Madhucon Projects** flagged it is not providing for interest pending a one-time settlement — a stress signal worth logging.
