**2,242 filings screened on a Saturday** — genuinely, not a formality: Indian companies file annual reports and AGM notices on weekends, and 524 of today's filings were annual reports alone. Credit-rating actions, by contrast, were almost entirely absent — ratings agencies don't work Saturdays, and today had none of the dozen-plus rating filings a weekday carries. The one large-cap event that mattered was European, not domestic.

## The one to read first

- **Tata Motors** — the commercial-vehicle arm's EUR 3.82 billion tender offer for Iveco Group names every clearance it obtained and not one regulator by name, and never states in this specific filing that its own offer vehicle is owned by Tata Motors itself. ## The pledge that triage let through

- **Lloyds Metals and Energy** — a large-cap iron-ore and DRI producer disclosed, across three separate filings, that promoter-group entity **Thriveni Earthmovers Private Limited** created a non-disposal undertaking covering roughly 16–17% of the company (90,086,636 shares rising to 95,866,998) with SBICAP Trustee as security for the company's own rupee term loan. Three other promoter-linked entities — Lloyds Enterprises, Sky United LLP, and Lloyds Metals & Minerals Trading — are named as encumbered holders in the same table. A separate same-day filing shows Thriveni releasing an unrelated, much smaller pledge (8,00,000 shares, 0.14%) to Aditya Birla Capital. All three filings were triaged LOW or SKIP and received no automated deep read — the kind of large-cap encumbrance event this desk's completeness check exists to catch.

## The open offer that wasn't promoted

- **Kronox Lab Sciences** — a genuine change-of-control transaction: **Indo Borax and Chemicals** and PAC **Zenrock Chemicals** filed a draft letter of offer to acquire up to 25.79% (95,70,000 shares) at ₹157.27 a share — about ₹150.5 crore — triggered by a share-purchase agreement for 2,38,44,000 shares under which the incumbent promoters, Ramani and Jaswal, exit the company. The filing was read and correctly tagged as a change-of-control event internally, but never reached the digest until today's check caught it.

## Adverse, despite what the tag says

- **Indoco Remedies** — a USFDA Form 483 at its sterile manufacturing facility in Goa, seven observations. The first automated read of this filing correctly tagged it adverse; a second, near-simultaneous read of the identical document flipped the tag to neutral, and the neutral version is what persisted in the system. The underlying event — seven observations at a sterile plant, from the US regulator — is adverse on its face regardless of a caching quirk, and is reported as such here.

## Deals and restructuring

- **Phoenix Mills** — NCLT Chennai sanctioned the merger scheme for its Astrea subsidiary.
- **RDB Real Estate Construction** — acquiring an additional 10% of RDB Anekant Orbit, making it a subsidiary.

## The listed dead

A cluster of nominally-listed companies that are not, in any operating sense, businesses — surfaced only because Saturday is annual-report day:

- **Jayabharat Credit** — its RBI Certificate of Registration was cancelled on 13 January 2020\. The company continues to file annual reports; its own filing states operational expenses are "funded by promoter support."
- **Progrex Ventures** — operations "remained suspended"; the company states it has "parted with plant and machineries." Total income for the year: ₹0.45 lakh.
- **Antariksh** — revenue collapsed from ₹4,379.16 lakh in FY25 to ₹516.66 lakh in FY26, following a 75.30% change of control to Mrs Gitaben Nitinbhai Patel.
- **Tokyo Finance** — an NBFC whose own secretarial auditor's report lists a stack of SEBI and RBI compliance lapses.

## The related-party line inside an AGM notice

- **JHS Svendgaard Retail** — its AGM notice proposes to permanently waive the entire interest — explicitly not the principal, which the filing states is untouched — on ₹13.5 crore of optionally convertible debentures owed by **Purple Rock Infra**, a related party in which promoter Mrs Sushma Nanda holds a 75% stake. A related-party value transfer sitting inside a routine AGM agenda item.

## What we checked, and what we'll say plainly about it

The completeness sweep enumerated all 6 HIGH and all 247 MEDIUM rows individually, then grepped every tier of the full 2,242-filing day for the classes automated triage under-weights. Credit-rating downgrades: zero. Qualified or adverse audit opinions: zero. Insolvency and CIRP hits beyond what's listed above: zero. Every one of the roughly 42 shareholding-threshold (SAST) filings across all tiers was checked individually — the Lloyds Metals encumbrance above was the one that mattered; the rest were routine.

Three items were added to this digest specifically because the first pass missed them, and we're saying so rather than quietly folding them in. That's the sweep working as intended, not evidence the day was under-covered before the check ran.
