**Whirlpool's parent told the Indian company it is exploring a sale of control with more than one buyer. Dr Lal PathLabs agreed to buy 70% of a genomics lab for up to ₹168 crore plus an earn-out. R R Kabel is buying Usha Martin's optical-fibre cable business for ₹77 crore. And the Serious Fraud Investigation Office called for information from India Power Corporation, which is already in insolvency.**

## The one to read first

**Whirlpool of India** [told the exchanges](https://nsearchives.nseindia.com/corporate/WHIRLPOOL%5F24092026074633%5FSE%5Fintimation%5Fmarketrumour%5Fsigned.pdf) that a letter received at 7:17 pm on 22 September set out its promoter's intent to sell its shares "to a third party as part of a control transaction", explored "with more than one potential counterparty".

- The company says it is not a party to the negotiations and does not know the terms.
- It disclosed the letter only in its 24 September reply to the exchanges, after a 20% move in the stock on 23 September.
- The Whirlpool brand itself stays with the parent group, licensed to India for 30 years.

## Deals

- **Dr Lal PathLabs**' board [approved buying 70% of SN Genelab](https://nsearchives.nseindia.com/corporate/LALPATHLAB%5F24092026172332%5FOutcome.pdf), a Gujarat diagnostics-genomics company, for cash.  
  - The price is up to ₹168 crore plus a performance-linked earn-out capped at ₹31.5 crore.
  - SN Gene's turnover was ₹43.27 crore in FY24, ₹53.36 crore in FY25 and ₹57.96 crore in FY26.
  - Completion is expected by 30 November 2026.
- **R R Kabel** [is buying the business of U M Cables](https://nsearchives.nseindia.com/corporate/RRKL1995%5F24092026214959%5FOutcome%5Fof%5FBM%5Facquisition%5Fof%5Funit%5F-%5FFinal.pdf), Usha Martin's optical-fibre and telecom cable subsidiary, by slump sale for ₹77 crore, subject to working-capital adjustments. - **Waaree Energies** [set the swap ratio](https://nsearchives.nseindia.com/corporate/WAAREE%5F24092026154903%5FOutcomeofBoardMeeting%5FWEL%5Fsigned.pdf) for absorbing Indosolar: 1 Waaree share for every 11 Indosolar shares. Separately, its subsidiary Waaree Clean Energy Solutions [is entering specialty gases](https://nsearchives.nseindia.com/corporate/WAAREE%5F24092026155939%5FPressRelease%5Fsigned.pdf) for semiconductor and solar manufacturing.
- **Nykaa** [completed its acquisition](https://nsearchives.nseindia.com/corporate/NYKAA%5F24092026170202%5FNykaaIntimationAminu.pdf) of 51% of Aminu Wellness on a fully diluted basis, making it a subsidiary.
- **Lemon Tree Hotels**' subsidiary Fleur Hotels [registered the purchase](https://nsearchives.nseindia.com/corporate/LEMONTREE%5F24092026211955%5FReg%5F30.pdf) of about 989.30 sq m of land in Bandra (East), Mumbai, for a hotel, for ₹120 crore excluding stamp duty.

## Orders and new business

- **Genesys International** [won a ₹283 crore contract](https://nsearchives.nseindia.com/corporate/GENESYS%5F24092026171029%5FAhemdabad%5FReg%5F30%5Forder%5Fintimation.pdf), including taxes, from the Ahmedabad Municipal Corporation for a World Bank-funded 3D digital map of about 625 sq km and roughly 25 lakh properties. It is to be completed over two and a half years.
- **LCC Projects** [emerged as L-1 bidder](https://nsearchives.nseindia.com/corporate/LCCPROJECTS%5F24092026164937%5FReg30%5FL1%5F2409.pdf) for the Chhoti Kalisindh sprinkler irrigation project in Jhalawar, Rajasthan, estimated at ₹653.34 crore including GST. L-1 is the lowest bid, not yet an award.
- **Varun Beverages**' Zimbabwe subsidiary [signed an exclusive distribution agreement](https://nsearchives.nseindia.com/corporate/VBL%5F24092026124621%5FDisclosure%5FMondelez.pdf) with Mondelez South Africa for chocolate, biscuit, candy and gum from 1 October 2026\. The filing says no capex is envisaged; it will use the existing distribution network.
- **Nava** [commissioned a 100 MW solar plant](https://nsearchives.nseindia.com/corporate/NBVENTURES%5F24092026131119%5FDisclosure.pdf) in Zambia through its step-down subsidiary Maamba Solar Energy. It sells all its power to the national utility ZESCO under a 20-year PPA.
- **Balrampur Chini** [was awarded a ₹75 crore grant](https://nsearchives.nseindia.com/corporate/BALRAMPURC%5F24092026110943%5FSE%5FIntimation%5F%5FPress%5FRelease%5F24092026.pdf) from DBT-BIRAC under BioE3, for a 100 TPA PLA co-polymer R&D facility.
- **TCPL Packaging** [incorporated TCPL Energy Materials](https://nsearchives.nseindia.com/corporate/TCPLPACK%5F24092026163826%5FTEML-STK-.pdf), a wholly owned subsidiary for lithium-ion battery separator films.

## Capital

- **Indiabulls** [allotted 51.55 crore warrants](https://nsearchives.nseindia.com/corporate/YAARI%5F24092026182726%5FIBL%5FIntimation%5FAllotment%5FWarrants%5F24092026.pdf) at ₹19.40 each and received ₹250.02 crore, the 25% payable upfront.  
  - To promoter-group entities: Phanes (22.53 crore) and Hermes (14.03 crore).
  - To non-promoters: EBISU Global Opportunities Fund (10 crore) and Nyaasa Global Fund (5 crore).
- **Inox Green Energy Services** [opened a QIP](https://nsearchives.nseindia.com/corporate/IGESL%5F24092026174541%5F1%5FIGESL%5FSE%5FOutcome%5F2026%5FIssueOpening.pdf) at a floor price of ₹174.36 a share.
- **Themis Medicare** [withdrew a planned preferential issue](https://nsearchives.nseindia.com/corporate/THEMISMED%5F24092026194457%5FReg30withdrawalntimationTML.pdf) of 45,95,795 warrants to a promoter-group entity at ₹102.87\. It says the working capital the issue was meant to fund has been arranged by other means.
- **Steel Exchange India** [was upgraded two notches](https://nsearchives.nseindia.com/corporate/STEELXIND%5F24092026092947%5FIntimation%5Fof%5FPress%5FRelease%5F24092026%5FFinal%5FSigned.pdf) by Infomerics, long-term to IVR BBB+/Stable and short-term to IVR A2\. Rated bank facilities rose from ₹200 crore to ₹359.63 crore.

## The fine print

- **India Power Corporation** (formerly DPSC; in insolvency since an NCLT order of 15 May 2026) [received a letter](https://nsearchives.nseindia.com/corporate/DPSCLTD%5F24092026144708%5FIntimationofNotice%5FMCA%5FSFIOUnderReg30ofSEBI%5FLODR%5F%5F24092026.pdf) from the Serious Fraud Investigation Office on 23 September.  
  - It calls for information under section 217(1) of the Companies Act.
  - It follows an MCA order under section 212(1)(c) directing an investigation.
  - The filing notes that the board's powers are suspended and are exercised by the resolution professional.
- **DEE Development Engineers**' special resolution to revise whole-time director Shikha Bansal's pay [was defeated](https://nsearchives.nseindia.com/corporate/DDEL%5F24092026184901%5FNSEBSE%5FReg%5F30.pdf). 71.08% voted in favour and 28.92% against, short of the 75% a special resolution needs.
- **PVP Ventures** lost its [executive director and CEO](https://nsearchives.nseindia.com/corporate/Pvpchennai%5F24092026163330%5FIntimation%5Fto%5Fstock%5Fexchanges%5F-%5FSigned.pdf), Dr Ellen Jane Feehan (personal health reasons), and its [executive director and COO](https://nsearchives.nseindia.com/corporate/Pvpchennai%5F24092026192452%5FIntimation%5Fto%5Fstock%5Fexchanges%5F-%5FSigned.pdf), Dr Neeraja Nagarajan (personal reasons), on the same day.
- **TruAlt Bioenergy**: promoter-group entity Nirani Holdings [pledged 14,00,000 shares](https://nsearchives.nseindia.com/corporate/TRUALTNSE123%5F24092026162714%5FPledge%5FIntimation%5FSd%5F2409.pdf) (1.63%) to Jio Credit on 22 September. The filing says the pledge secures the debt of Vijaykumar Nirani and Vishal Nirani.
- **Twamev Construction and Infrastructure**' promoter Ravi Todi [sold 90,00,000 shares](https://nsearchives.nseindia.com/corporate/TCLCONS%5F24092026201018%5FSaleOfShares23092026.pdf) (5.81%) on 23 September. Two promoter-group entities sold 10,00,000 shares (0.65%) each.
- **Alkem Laboratories**' CFO Nitin Agrawal [is leaving](https://nsearchives.nseindia.com/corporate/ALKEM%5F24092026124110%5FReg30Intimation%5Fsigned.pdf). He resigned on 30 July and ceases to be CFO on 30 September.
- **Sundram Fasteners** [received exchange approval](https://nsearchives.nseindia.com/corporate/SUNDRMFAST%5F24092026090718%5FSFLSELetterReg31AApproval.pdf) to reclassify three promoter-group companies as public shareholders.

## What we're not reporting

About 989 BSE-only documents could not be opened today because BSE downloads are paused; nothing from them is reported here. The rest of the day was mostly:
