**A heavy Monday. Anupam Rasayan completed its takeover of Bliss GVS Pharma, financed mostly by Bain Capital-led investors, and its filings give Purebliss Pharma Solutions, the company receiving the equity-like funding, a ₹1 option over the Bliss stake if the financing defaults. ITC bought out the rest of Yoga Bar for about ₹645 crore. Kalpataru Projects won a UAE gas pipeline worth over ₹4,000 crore, and Dilip Buildcon, NCC and Ellenbarrie added about ₹3,400 crore of orders between them. Ola Electric and Natco Pharma moved ahead with rights issues. Two chief executives, at Trident and Allcargo, announced they are leaving their posts.**

## The one to read first

**Bliss GVS Pharma** has a new controlling shareholder. [Anupam Rasayan said](https://nsearchives.nseindia.com/corporate/ANURAS%5F28092026195741%5FARILSLDSTX20260928064PressRelease.pdf) it has paid for a 48.2% controlling stake at ₹299 a share, through its wholly owned subsidiary Mates Visa Consultancy.

- Funding: a ₹300 crore term loan plus about ₹1,450 crore "raised through non-controlling, non-voting instruments from a group of financial investors led by Bain Capital and including Trust Group and Investec".
- Anupam says the price was about 24 times Bliss GVS's trailing earnings.
- [Bliss GVS's board](https://nsearchives.nseindia.com/corporate/BLISSGVS%5F28092026204916%5FOutcome%5F%5F%5FBM%5F%5F%5FBliss%5FGVS%5F%5F%5F1%5FBoard%5FMeeting.pdf) recorded Anupam Rasayan and Mates as promoters, holding 5,09,86,264 shares (47.95%). Managing Director Narsimha Kamath resigned and three new non-independent directors joined.
- The [outgoing promoters](https://nsearchives.nseindia.com/corporate/BLISSGVS%5F28092026205539%5FOutcome%5F%5F%5FBM%5F%5F%5FBliss%5FGVS%5F%5F%5F2ndBM.pdf), who together held 34.82%, move to the public category.

The detail that matters is in Anupam's 23 September filings. The subsidiary holding the Bliss stake has granted an option to buy all of it, for ₹1, to Purebliss Pharma Solutions, in which Anupam holds 15%. The option can be used only after certain defaults on the subsidiary's financing.

## Deals

- **ITC** [bought the remaining shares of Sproutlife Foods](https://nsearchives.nseindia.com/corporate/ITC%5F28092026202850%5FSE%5FSFPL%5F.pdf), maker of Yoga Bar, for about ₹645 crore in cash. Its stake goes from about 47.50% to 100%. Sproutlife's turnover was ₹452 crore in 2025-26.
- **HCLTech**'s HCLSoftware unit [agreed to buy Croatia's Robotiq.ai](https://nsearchives.nseindia.com/corporate/HCLTECH%5F28092026184228%5FStockExchangeIntimationSeptember282026.pdf), an enterprise automation software company, for an enterprise value of EUR 9 million in cash. Robotiq.ai's 2025 revenue was EUR 1.4 million. Closing is expected by the end of November.
- **Sun Pharma** [licensed lerodalcibep](https://nsearchives.nseindia.com/corporate/SUNSEC%5F28092026082027%5FSE%5FIntimation%5Fof%5FPR%5Ffor%5Flerodalcibep%5Flicensing.pdf), a cholesterol drug from LIB Therapeutics, for all markets except the US and China. The drug was approved in the EU as Lyrokaul. LIB will receive an upfront payment, milestones and royalties; the amounts are not disclosed.
- **Godrej Properties** [will develop about 2.5 acres at Marine Lines, South Mumbai](https://nsearchives.nseindia.com/corporate/GODREJPROP%5F28092026061244%5FSEIntimationgodrejmicl.pdf), with an estimated revenue potential of about ₹6,000 crore. The landowner, [Man Infraconstruction](https://nsearchives.nseindia.com/corporate/kunjalparekh%5F28092026081058%5FMICL.pdf), says it will share revenue and recoup its existing investment of "₹300+ crore".
- **Orient Cement** and **Ambuja Cements** shareholders [approved Orient's merger into Ambuja](https://nsearchives.nseindia.com/corporate/AMBUJACEM%5F28092026210644%5FACL%5F%5FNCLT%5FOUTCOME%5F28092026.pdf) at meetings convened by the NCLT. [Orient says](https://nsearchives.nseindia.com/corporate/ORIENTCEM%5F28092026202922%5FOCL%5FOutcome%5F28092026.pdf) the resolution was passed by the requisite majority of shareholders, including public shareholders.
- **Sudarshan Chemical** [agreed to buy 15.89% of Sudarshan Colorants India](https://nsearchives.nseindia.com/corporate/SUDARSCHEM%5F28092026171505%5FSEIntimationSPA28092026Signed.pdf) from Sudarshan Europe B.V. for ₹150.76 crore.
- **Thomas Scott (India)** [signed a five-year exclusive licence](https://nsearchives.nseindia.com/corporate/THOMASCOTT%5F28092026155924%5FTSIL%5FIntimation%5Funder%5FRegulation%5F30%5FForever%5F21%5Fsigned.pdf), extendable by five years, for Forever 21 in India, Nepal and Bangladesh, with Authentic Brands Group's F21 IPCO.

## Orders

- **Kalpataru Projects (KPIL)** [received a letter of award](https://nsearchives.nseindia.com/corporate/KALPATPOWR%5F28092026084735%5FSEIntimationPR28092026.pdf) for an EPC gas pipeline project in the UAE. It classifies the order as "Major", meaning over ₹4,000 crore.
- **Dilip Buildcon** was declared lowest bidder for two projects:  
  - [a 400 kV transmission system at Yavatmal](https://nsearchives.nseindia.com/corporate/DBL%5F28092026093801%5FIntimation.pdf) for RECPDCL, EPC value ₹1,151.47 crore excluding GST;

- **NCC** [received a ₹1,076.71 crore order](https://nsearchives.nseindia.com/corporate/NCC%5F28092026162831%5FReg30.pdf) (excluding GST) for a drinking-water scheme on the Yeleru reservoir, Anakapalli district, Andhra Pradesh, to be built in 24 months.
- **Ellenbarrie Industrial Gases** [won a ₹480.73 crore turnkey contract](https://nsearchives.nseindia.com/corporate/ELLENBARRIE2024%5F28092026182021%5FAnnouncement%5FAwarding%5Fof%5FContract%5FBHEL%5F28092026.pdf) (excluding GST) from BHEL for a 1,200 TPD air separation unit at BHEL's coal-to-ammonium-nitrate project in Odisha.
- **Power Mech Projects** [secured a ₹279.20 crore order](https://nsearchives.nseindia.com/corporate/POWERMECH%5F28092026183107%5FDISCLOSURE.pdf) from Telangana's power generation company for three years of O&M of the ash and coal handling plants at its YTPS station (5 × 800 MW).

## Capital

- **Ola Electric**'s board [approved a rights issue](https://nsearchives.nseindia.com/corporate/OLAELECTRIC%5F28092026194153%5FSEintimationOutcomeofBMRightsIssue.pdf) of partly paid-up shares of up to ₹1,000 crore, subject to approvals. Price, ratio and record date are not yet set.
- **Aegis Logistics**' board [approved raising up to ₹6,000 crore](https://nsearchives.nseindia.com/corporate/AEGISCHEM%5F28092026114512%5FALL%5FSE%5FOutcome%5FFundraising%5F28092026%5FS.pdf) through equity or debt, and raising its borrowing limit to ₹6,000 crore, subject to shareholders' approval.
- **CleanMax** [raised ₹2,500 crore through secured, listed NCDs](https://nsearchives.nseindia.com/corporate/CLEANMAX%5F28092026142204%5FNCDFinal.pdf) in five series, with coupons of 8.250% to 8.765% and maturities from 2028 to 2036\. - **Lloyds Metals** [invested ₹606.76 crore in Thriveni Earthmovers](https://nsearchives.nseindia.com/corporate/LLOYDSME%5F28092026180031%5F20260928%5FIntimation%5Ffor%5FAllottment%5Fof%5FShares%5FTEIL.pdf), 3.5 crore shares at ₹173.36, taking its holding to 71.89%.
- **Axis Max Life Insurance**, a subsidiary of Max Financial, [raised ₹686 crore](https://nsearchives.nseindia.com/corporate/Max%5F28092026193748%5FSEDMFSL28092026.pdf) through subordinated NCDs.
- **PVR INOX** [completed its buyback](https://nsearchives.nseindia.com/corporate/PVRINOXLTD%5F28092026165647%5FPVRINOXPostOfferPublicAnnouncement28092026.pdf) of 20,68,965 shares at ₹1,450, about ₹300 crore. The offer was subscribed about 18.42 times.
- **Swaraj Suiting** [proposed a preferential issue](https://nsearchives.nseindia.com/corporate/SWARAJ%5F28092026212029%5FRegu30OutcomeofBM28Sept2026.pdf) to non-promoters: up to 35 lakh shares and 17 lakh warrants, both at ₹335, together up to ₹174.20 crore.
- **NALCO** [paid ₹1,083.06 crore](https://nsearchives.nseindia.com/corporate/bharatsahu%5F28092026190724%5FLetterpressrelease.pdf) in dividend to the Government of India for FY26, out of a total FY26 dividend of ₹2,112.12 crore.

## Courts, regulators and tax

- **Eureka Forbes** [received a GST show-cause notice](https://nsearchives.nseindia.com/corporate/SHILPAJAIN%5F28092026181858%5FRegulation%5F30%5F-%5FGST%5FSCN%5Fsigned.pdf) from Uttar Pradesh for FY23 proposing ₹273.40 crore: tax of ₹149.21 crore, interest of ₹109.27 crore and a penalty of ₹14.92 crore. The company says the notice is "devoid of merits" and will contest it.
- **Equitas Small Finance Bank**: after a hearing, the Tamil Nadu GST authority [cut a proposed demand](https://nsearchives.nseindia.com/corporate/EQUITASBNK%5F28092026215746%5FSCNfinalforupload.pdf) from ₹533.81 crore to ₹23.95 crore.
- **Welspun Enterprises** [received a GST show-cause notice](https://nsearchives.nseindia.com/corporate/WELENT%5F28092026183727%5FIntimation.pdf) from Uttar Pradesh for FY23 proposing tax of about ₹71.24 crore plus interest and penalty.
- **UTI AMC** [received an income-tax penalty order](https://nsearchives.nseindia.com/corporate/CSUTIAMC%5F28092026183857%5FIntimation%5Funder%5FRegulation%5F30.pdf) of ₹3.32 crore for AY 2020-21 and plans to appeal.
- **Zydus Lifesciences**: a USFDA inspection of its SEZ II plant in Ahmedabad [closed with one observation](https://nsearchives.nseindia.com/corporate/Cadilahc%5F28092026180155%5FPressRelease28092026.pdf).
- **Lupin** [received USFDA tentative approval](https://nsearchives.nseindia.com/corporate/Lupin2%5F28092026091311%5FSELetterPressRelease.pdf) for apixaban oral suspension.
- **Zicom Electronic Security Systems**: the NCLT [approved the resolution plan](https://nsearchives.nseindia.com/corporate/ZICOM%5F28092026151419%5FIntimation%5F01.pdf) of Advaita Trading, which the committee of creditors had backed with 75.46% of the vote.
- **Turtlemint Fintech**, [replying to the exchanges](https://nsearchives.nseindia.com/corporate/TURTLEMINT%5F28092026202116%5FTurtlemint%5FClarification%5Fon%5FPrice%5FMovement.pdf) on its share price, pointed to IRDAI's consultation paper on insurance distribution. It says it cannot yet state the effect on its business and will submit comments to IRDAI.

## Shareholdings and pledges

- **Vedanta**: Citicorp [released encumbrances over 51.93%](https://nsearchives.nseindia.com/corporate/Vedanta%5F09282026161951%5F53533.zip) of Vedanta's shares after US$1.1 billion of Vedanta Resources bonds were repaid in full. Separately, GLAS [disclosed an encumbrance over 54.72%](https://nsearchives.nseindia.com/corporate/Project3%5F09282026144048%5F53506.zip) linked to US$400 million of new tap bonds. It says the bond terms count as an encumbrance and that no pledge has been created.
- **Aqylon Nexus**: promoter Kurjibhai Rupareliya [sold 1,77,36,601 shares (6.99%)](https://nsearchives.nseindia.com/corporate/Disclosure4%5F09282026161233%5F53525.zip) in the open market, cutting his holding from 32.81% to 25.82%. 2,90,00,000 of his shares remain encumbered.
- **Entero Healthcare**: Prasid Uno Family Trust [sold 21,30,000 shares (4.89%)](https://nsearchives.nseindia.com/corporate/ENTERO%5F09282026182418%5F53551.zip), leaving 3.05%.
- **Corona Remedies**: Sepia Investments and two entities acting with it [sold 26,29,880 shares](https://nsearchives.nseindia.com/corporate/Intimation1%5F09282026161112%5F53511.zip) (4.29%). Sepia's stake fell from 12.68% to 8.62%.
- **Sanghvi Movers**: promoter-group member Rishi Sanghvi [gifted 1,05,53,614 shares (12.19%)](https://nsearchives.nseindia.com/corporate/Disclosure1%5F09282026125559%5F53437.zip) within the promoter group, off-market.
- **Bombay Burmah**: Nusli Wadia [transferred 18,34,000 shares (2.63%)](https://nsearchives.nseindia.com/corporate/BBTC%5F09282026181707%5F53537.zip) to promoter-group company Nowrosjee Wadia & Sons by block deal.

## The fine print

- **Antarctica**: shareholders [defeated two resolutions](https://nsearchives.nseindia.com/corporate/ANTGRAPHIC%5F28092026170710%5FOutcome%5Fof%5FAGM.pdf): approval to give loans, guarantees or security under Section 185, and a higher limit for loans and investments under Section 186.
- **Royal Orchid Hotels**: institutional shareholders [voted 11,93,595 shares against adopting the audited accounts](https://nsearchives.nseindia.com/corporate/ROHLTD%5F28092026155104%5FFinalIntimation.pdf) and 49,123 in favour, 96% against. The resolution passed on promoter votes.
- **Mankind Pharma**: S.R. Batliboi [resigned as auditor of Bharat Serums and Vaccines](https://nsearchives.nseindia.com/corporate/MANKIND1%5F28092026155312%5FCovering%5Fsd.pdf), Mankind's material subsidiary, because the subsidiary's shareholders resolved on 7 September to liquidate it voluntarily. The auditor says there is no other reason for resigning.

## What we're not reporting

This digest covers NSE filings only. From 28 September, our filing feed reads NSE alone while BSE's access block continues, so BSE-only filings are not in it.

Six NSE documents could not be downloaded. One filing, Sedemac Mechatronics' stake sale disclosure, dates the sale to 2024, which cannot be right; it is held back until corrected.

The rest of the day was mostly trading-window closures, AGM results, ESOP allotments and record dates.
