**SEBI settled its six-year minimum public shareholding case against four Adani companies and their directors for ₹37.05 lakh per company, without admission. Canada's CPP Investments agreed to invest up to ₹3,000 crore for about 27% of Prestige's hotel business, four days after that business withdrew its IPO papers. Ganesh Benzoplast is selling its port tank terminals and rail logistics to a KKR-backed buyer for ₹1,154 crore. Indo Borax took control of Kronox Lab Sciences. IHH says it wants 51% of Fortis within three to five years.**

## The one to read first

**Adani group**: SEBI [passed a settlement order](https://www.sebi.gov.in/enforcement/orders/sep-2026/settlement-order-in-the-matter-of-adani-group-companies%5F104779.html) on 28 September closing its minimum public shareholding proceedings against Adani Enterprises, Adani Power, Adani Ports and SEZ and Adani Energy Solutions, and 14 current and former directors.

- The case began with complaints in June and July 2020\. SEBI's show cause notice followed in September 2024, with a supplementary notice in March 2025.
- The amount is ₹37,05,000 for each company, payable jointly and severally with its directors: ₹1.48 crore in total, paid on 26 August.
- The settlement is "without admitting or denying the facts and conclusions of law". It covers the 18 applicants; the notice also went to other entities, whose position is not stated.

## Deals

- **Prestige Estates** [signed agreements](https://nsearchives.nseindia.com/corporate/PRESTIGE%5F29092026212001%5FPEPLInitmation290926.pdf) for CPP Investments to invest up to ₹3,000 crore in Prestige Hospitality Ventures, in three tranches, for about 27%, through a mix of new shares and a secondary purchase. It needs CCI approval. The hotel company's FY26 revenue was ₹345.90 crore. [CPP Investments says](https://nsearchives.nseindia.com/corporate/PRESTIGE%5F29092026212629%5FIntimation29092026.pdf) most of the money will fund expansion. On 25 September the same company withdrew its draft IPO prospectus.
- **Ganesh Benzoplast** [agreed to sell](https://nsearchives.nseindia.com/corporate/GANESHBE%5F29092026201451%5FPressreleaseRegulation30.pdf) its liquid storage tank business at JNPT, Goa and Cochin ports, and its rail logistics business, to Cisternina Logistics, "in which KKR will make a majority investment", for ₹1,154 crore. It expects about ₹280 crore more in EPC revenue from building pipelines and tanks at JNPT over 18–24 months. Shareholder and regulatory approvals are pending.
- **Kronox Lab Sciences**: Indo Borax & Chemicals [completed its purchase](https://nsearchives.nseindia.com/corporate/INDOBORAX%5F29092026155957%5FDisclosures%5FReg%5F30%5F-%5FIndo%5FBroax.pdf) of 2,38,44,000 shares (64.26%) from the promoters. [Kronox's board](https://nsearchives.nseindia.com/corporate/KRONOX%5F29092026172252%5FOUTCOME%5FOF%5FBOARD%5FMEETING.pdf) was reconstituted the same day, with a new MD and CFO. The price is not stated in the filings read.
- **Fortis Healthcare**: parent IHH [said](https://nsearchives.nseindia.com/corporate/FORTIS%5F29092026145358%5FFINAL.pdf) that "Over the next three to five years, we plan to increase our stake in Fortis to 51%", and to expand to about 10,000 beds by 2031\. The statement follows the Supreme Court's 25 September order on the forensic audit (see the 27 Sep digest).
- **JSW Cement** [will merge](https://nsearchives.nseindia.com/corporate/JSWCL%5F29092026210016%5FPress%5FRelease%5FUpload.pdf) its listed subsidiary Shiva Cement into itself: 5 JSW Cement shares for every 41 Shiva Cement shares. Completion is expected in 12–14 months.
- **ACC** shareholders [approved ACC's merger into Ambuja Cements](https://nsearchives.nseindia.com/corporate/ACC%5F1%5F29092026200638%5FACC%5FOutcome%5FCover%5FFinal.pdf) at the NCLT-convened meeting, including by the required majority of public shareholders.
- **Time Technoplast** [approved merging](https://nsearchives.nseindia.com/corporate/TIMETECHNO%5F29092026204150%5FOutcome29092026%5Fsigned.pdf) its 74.86% subsidiary TPL Plastech into itself: 403 Time Technoplast shares for every 1,000 [TPL shares](https://nsearchives.nseindia.com/corporate/TPLPLASTEH%5F29092026185435%5FOutcome29092026.pdf).
- **Aurum PropTech** [allotted 1,97,93,309 shares](https://nsearchives.nseindia.com/corporate/AURUM%5F29092026213945%5FReg30DisclosureforAllotmentofEquity29092026.pdf) at ₹231.421 each, about ₹458 crore, to REA India, in exchange for 100% of Locon Solutions.
- **Endurance Technologies** [will buy the remaining 32%](https://nsearchives.nseindia.com/corporate/ENDURANCE%5F29092026171139%5FIntimation29.pdf) of Germany's Stöferle companies now, for €18 million upfront, instead of in tranches to June 2030.
- **Pidilite**'s subsidiary [sold its entire stake in Finemake Technologies](https://nsearchives.nseindia.com/corporate/Nisha%5F29092026155331%5FSEIntimationFinemakeTransferofSharestoFounderssigned.pdf) to Finemake's founders, at a valuation it did not disclose.
- **NLC India** [approved a 50:50 joint venture with NALCO](https://nsearchives.nseindia.com/corporate/NLCINDIA%5F29092026182825%5FBoard%5FOutcome%5F29%5F09%5F2026-Signed.pdf) for a 1,080 MW captive thermal power plant for NALCO.

## Orders

- **KPI Green Energy** [received an EPC order of about ₹2,025 crore](https://nsearchives.nseindia.com/corporate/KPIGLOBAL%5F29092026152717%5F7%5FKPI%5FGreen%5FReg30%5FNACOF%5F500MW%5FOrder%5F29092026%5FSigned.pdf) from NACOF Oorja for a 500 MW / 550 MWp solar project at Bikaner, Rajasthan.
- **Power Mech Projects** [won a ₹549.37 crore order](https://nsearchives.nseindia.com/corporate/POWERMECH%5F29092026175552%5FDISCLOSURE%5F.pdf) from Adani Group's Moxie Power Generation for five years of O&M at the 2 × 600 MW Tuticorin plant, from 1 October.
- **STL Networks** [is the lowest bidder](https://nsearchives.nseindia.com/corporate/STLNETWORKS%5F29092026161411%5FBSENSE%5F%5F1%5F.pdf) for RailTel's data-centre cloud infrastructure, worth ₹249.8 crore including taxes.

- **McLeod Russel** [signed a master restructuring agreement](https://nsearchives.nseindia.com/corporate/MCLEODRUSS%5F29092026182806%5FDisclosure.pdf) with NARCL and promoter Aditya Khaitan for ₹2,483.31 crore of debt: ₹1,050 crore classed as sustainable and ₹1,433.31 crore as unsustainable.
- **IRB Infrastructure**'s public InvIT [raised ₹2,351 crore](https://nsearchives.nseindia.com/corporate/IRB%5F29092026090259%5FSE%5FDiscl%5FInvIT%5FQIP.pdf) (₹2,000 crore by institutional placement, ₹351 crore preferential) to part-fund two highway assets bought from IRB's private InvIT.

## Courts, regulators and tax

- **Tata Steel**: the Income Tax Appellate Tribunal [allowed its appeal](https://nsearchives.nseindia.com/corporate/NIDHIFADNAVIS%5F29092026164617%5FBSENSE%5FSigned.pdf) for FY2009 on interest on loans for the Corus acquisition. Tata Steel says its exposure on the issue falls from about ₹1,686 crore to about ₹1,259 crore once the order takes effect.
- **Graphite India**: the US Department of Commerce [made a preliminary anti-dumping determination](https://nsearchives.nseindia.com/corporate/GILKOLKATA%5F29092026170033%5FST%5FEXCH%5FFORWARDING%5FLETTER%5FADD%5FF.pdf) on large-diameter graphite electrodes: a dumping margin of 12.22% and a cash deposit rate of 9.88% after the subsidy offset. The effective date is not yet notified.

- **Welspun Living**: the promoter-group Welspun Group Master Trust [sold 2,44,71,102 shares (2.59%)](https://nsearchives.nseindia.com/corporate/WELSPUNLIV%5F09292026143957%5F53630.zip) by block deal. The promoter group's holding fell from 66.36% to 63.77%.
- **RHI Magnesita India**: Dalmia Bharat Refractories [sold its entire 13.08%](https://nsearchives.nseindia.com/corporate/Intimation%5F09292026143437%5F53636.zip) (2,70,20,000 shares) on the market. SBI Mutual Fund [bought 1,66,66,667 shares (8.07%)](https://nsearchives.nseindia.com/corporate/NSE%5F09292026143718%5F53632.zip).
- **Groww (Billionbrains Garage Ventures)**: Peak XV [sold 16,69,97,368 shares (2.66%)](https://nsearchives.nseindia.com/corporate/GROWW%5F09292026131836%5F53536.zip) between May and September, leaving 14.22%.
