**Tata Motors, the truck and bus maker that kept the name after the group split off its car business, sold 42% more vehicles in the September quarter than a year earlier. Revenue rose by the same 42%, to ₹23,930 crore. But steel and rubber cost more, and the EBITDA margin fell 90 basis points to 11.7%. The company generated ₹4,606 crore of free cash in the quarter, and in a week it expects to settle its tender offer for Iveco, the Italian truck maker.**

## The quarter in numbers

| Standalone, Q2 FY27 | Value | Change | Source |
| ---------------------------- | ------------- | --------------- | ------ |
| Revenue | ₹23,930 crore | +42% | \[R\] |
| EBITDA margin | 11.7% | −90 bps | \[R\] |
| EBIT margin | 9.7% | −50 bps | \[R\] |
| PBT before exceptional items | ₹2,660 crore | up ₹903 crore | \[R\] |
| Free cash flow | ₹4,606 crore | up ₹2,396 crore | \[R\] |
| Wholesales | 135.1K units | +42% | \[R\] |

For the half year, standalone revenue was ₹43,259 crore, up 33%, and free cash flow ₹5,721 crore (\[R\]).

At the consolidated level, revenue was ₹25,338 crore, up 36%, and the EBITDA margin was 10.9%, down 40 basis points. Consolidated profit after tax rose 244% to ₹1.3K crore, which the company says was "led by lower mark to market loss on investments in Tata Capital Ltd" (\[R\]).

## Where the volume came from

Every segment grew. The company says "Domestic & Export volumes were up 30% and 177% YoY respectively" (\[R\]). Its presentation describes the international business as about three times last year's size (\[P\]).

Its share of India's commercial-vehicle registrations for the half year was 36.2%, up 110 basis points from FY26 (\[R\]). By segment (\[R\]):

| Segment | Market share, H1 FY27 |
| ------------------------------------- | --------------------- |
| Heavy trucks (HCV) | 55.7% |
| Intermediate and light trucks (ILMCV) | 36.3% |
| Small pickups (SCV PU) | 27.6% |
| Buses and vans (CV Passenger) | 41.1% |

## Moat and margin

**Focus moat: scale and distribution.** More than half of India's heavy trucks registered in the half year were Tata's, and the overall share rose. A truck maker's moat is its dealer and service network, its financing tie-ups and its fleet customers' habits; the share figures say those are holding through a strong cycle.

**Margin: volume up, margin down.** EBITDA rose 31% while revenue rose 42%, so each rupee of sales earned less. The company says margin was held from June "despite the significant impact from rising commodity costs" (\[R\]), and its presentation says the commodity impact was "largely offset by operating leverage, cost efficiencies and improved realizations" (\[P\]). Largely, not fully: the year-on-year margin is still 90 basis points lower. Managing director Girish Wagh names the inputs: commodity cost pressures, "particularly in steel and rubber" (\[R\]).

**Cash.** Free cash flow of ₹4,606 crore in one quarter is high for a business this size. Standalone net cash was ₹11.3K crore and consolidated net cash ₹15.9K crore at 30 September (\[R\]). That cash matters for Iveco.

**MoatSCORE** (Moat Screener, first pass): Tata Motors 4.82, AMBER+. For comparison, Ashok Leyland 5.50 and Eicher Motors 5.60 (\[MS\]).

## Iveco: what the filings say

The tender offer for Iveco has received all regulatory approvals and is open until 26 October; Iveco's shareholders approved all the offer-related resolutions at an EGM on 16 October; settlement is scheduled for 30 October, subject to completion (\[R\]). The presentation shows 35% of shares tendered as of 22 October, and an offer price raised to €14.40 from €14.10 to reflect "the slight delay in the completion of the Offer" (\[P\]). Wagh says the company is preparing "for consolidation from next quarter" (\[R\]).

The filings do not give the total cost, the funding, or the acceptance level needed. From the December quarter, Tata Motors' reported numbers will include a much larger European business, so this quarter is the last clean read of the Indian franchise on its own.

## The bear case

- **The margin is going the wrong way.** Steel and rubber took 90 basis points in a year, and the CEO says commodity cost pressures "remain a headwind".
- **Growth will slow.** Wagh says growth rates "are expected to moderate in the second half against a higher base" (\[R\]).
- **Iveco changes the company.** A large acquisition in a different market, priced in euros, with consolidation from next quarter and no stated funding plan in these filings.
- **Profit quality at the consolidated level.** The 244% jump in consolidated profit owes much to a smaller mark-to-market loss on Tata Capital shares, not to trucks.

## The case for

- **Share gains in a strong cycle**, led by heavy trucks at 55.7% (\[R\]).
- **Exports are now a real line**, up 177% in the quarter (\[R\]).
- **Cash generation**: ₹5,721 crore of free cash flow in the half year and ₹15.9K crore of consolidated net cash before Iveco (\[R\]).

## What to watch

1. The Iveco acceptance level and settlement on 30 October, and the funding disclosed after it.
2. Whether the EBITDA margin recovers in the December quarter as commodity costs move.
3. Second-half volume growth against the higher base Wagh warns of.
