ACRE files insolvency petitions against Zee Learn, the Supreme Court lets the Fortis forensic audit proceed, and NMDC commissions its pellet plant.

A quiet Sunday, with two serious filings. Assets Care & Reconstruction Enterprise (ACRE) served notice of insolvency petitions against Zee Learn and its subsidiary, alleging a default of about ₹821 crore. The Supreme Court let the forensic audit ordered in the Daiichi–Singh case proceed at Fortis Healthcare, while ruling that the High Court's observations about Fortis must not influence it. NMDC commissioned its ₹5,427 crore pellet plant and slurry pipeline project. And at two AGMs, shareholders voted resolutions down.

The one to read first

Zee Learn said ACRE, as a financial creditor, has filed applications before the NCLT, Mumbai under Section 7 of the Insolvency Code, seeking insolvency proceedings against the company and its wholly owned subsidiary Digital Ventures.

  • The alleged default is about ₹821 crore.
  • The company received advance service of the unnumbered petitions on 26 September. The tribunal has not yet admitted them.
  • Ten days earlier, ACRE invoked Zee Learn's corporate guarantee and demanded ₹818.23 crore.

According to its Q1 results, the guarantees cover loans taken by "four trusts/entity", and the auditor flagged a material uncertainty about going concern. In June, the lenders had told the tribunal they would withdraw the earlier petition.

Courts and regulators

  • Fortis Healthcare: the Supreme Court, by an order dated 25 September, disposed of Fortis's special leave petition against the Delhi High Court's 31 August judgment in Daiichi Sankyo vs. Malvinder Mohan Singh.
    • The court allowed the forensic audit of the company to proceed.
    • It said the High Court's observations about Fortis are "tentative and only for the purpose of making out a case for forensic audit", and that the audit must be conducted independently of them.
    • Fortis says the High Court imposed no liability, penalty or fine on it, and that it is a stranger to the dispute between Daiichi Sankyo and the Singh brothers and was never a party to their arbitration.
  • PB Fintech, replying to the exchanges on its share price, addressed IRDAI's consultation paper on insurance distribution, which proposes changes to distribution expenses and commission limits.
    • The company says the paper is only at the consultation stage.
    • It also says the proposed limits, if implemented in their current form, "may not fully reflect the current operational and servicing cost structures of the online insurance distribution". It will submit feedback to IRDAI.

Orders and operations

  • NMDC commissioned its 2 MTPA pellet plant at Nagarnar, Chhattisgarh. This completes a ₹5,427 crore project that also includes an iron ore processing plant at Bacheli and a 135 km, 15 MTPA slurry pipeline between the two.
  • Kay Cee Energy & Infra (SME) received a letter of award from Rajasthan's transmission utility RVPN for modification work on the 132 kV Abu Road–RIICO Abu Road line. Value: ₹7.90 crore including GST.
  • Jyoti CNC Automation, responding to media reports, said a fire on 26 September at one of its Rajkot coating facilities was brought under control within 30–60 minutes. It reports no casualties, no material financial impact, and operations running normally.

Capital

  • Goodluck India: its subsidiary Goodluck Defence and Aerospace raised ₹276 crore by issuing 73,60,000 shares at ₹375 each to non-promoter investors. Goodluck India now holds 69.08% of the subsidiary. The filing says the subsidiary is scaling artillery-shell capacity from 1,50,000 units a year; the target figure is printed as "4,00,00".
  • SBM Bank (India), whose debt is listed on NSE, allotted 7,02,89,188 shares at ₹10.66 in a rights issue to existing shareholders, raising ₹74.93 crore.
