Vedanta Aluminium Earned $1,646 a Tonne. A ₹3,539 Crore Bauxite Demand Sits in Note 12.
Vedanta Aluminium Metal Ltd (VAML) reported its September-quarter profit more than doubled, to ₹6,187 crore, on a margin of $1,646 a tonne of aluminium. In the same results, note 12 says the Orissa High Court has dismissed its writ over how bauxite is priced under a long-term linkage arrangement with Odisha Mining Corporation (OMC), and that OMC's resulting demand is ₹3,539 crore plus interest and GST. The company has provided ₹400 crore as an "additional" amount. The press release and the investor presentation do not mention the matter; both show only an unexplained ₹363 crore exceptional line.
MoatSCORE: not yet scored (Vedanta Aluminium Metal is not listed on the Moat Screener, read 29 Oct 2026; Vedanta Ltd., scored before the demerger, shows a first-pass 5.74). Our first-pass Vedanta moat page was written for Vedanta Limited before the aluminium business was demerged; it is context, not a view of VAML.
The idea in one sentence
A cost advantage built on owning your inputs is only as durable as the contract that prices the input you do not yet own, and VAML's own filings show both the advantage and the contract in dispute.
The fact that breaks the assumption
On a consolidated basis, VAML's EBITDA was ₹10,192 crore against ₹5,582 crore a year earlier, and profit after tax ₹6,187 crore against ₹3,012 crore ([PR]). Its hot-metal cost of production was $1,722 a tonne against $1,826, and EBITDA per tonne $1,646 against $955 excluding a one-off ([IP], slide 17). Net debt fell ₹3,090 crore in the quarter and India Ratings upgraded it to AA+ ([PR]).
In the results document, on page 8, under note 12 (repeated as note 12 of the standalone results): "The Company has an ongoing dispute with Odisha Mining Corporation Limited" relating to "pricing of bauxite supplied under the Long-Term Linkage arrangement". The High Court dismissed the company's writ petition "and vacated the interim stay", and OMC's "consequential demand dated October 03, 2026" is "₹3,539 crore plus interest and GST thereon" ([RS], note 12, read from the page image). The press release, by contrast, speaks of "enhanced cost competitiveness" ([PR]) and does not mention the matter; its results table, like the presentation's income-statement slide, shows "Exceptional Items (Net of Tax)" of ₹363 crore without saying what they are ([PR]; [IP], slide 22).
One concrete thing, followed: what note 7 and note 12 actually say
- Exceptional items in the quarter were ₹485 crore (the same in the consolidated and standalone statements): ₹400 crore "OMC bauxite matter" and ₹85 crore of estimated stamp duty and other charges on transferring land and mining rights acquired under the demerger from Vedanta Limited. Note 7(a) describes the ₹400 crore as "an additional provision recognised for bauxite supplied by Odisha Mining Corporation Limited under the Long-Term Linkage arrangement" ([RS], note 7). Net of tax the exceptional items are ₹363 crore.
- Profit after tax before exceptional items was ₹6,550 crore consolidated, and ₹6,187 crore after them ([PR]). So the reported "doubling" already carries the ₹400 crore. It does not carry the rest of the demand.
- The ₹3,539 crore is a demand dated 3 October, two days after the order. The company "has challenged the judgment before the Hon'ble Supreme Court of India and sought a stay" on that demand. A stay was sought; the note does not say it was granted. Management "continues to believe that the Company has strong grounds on merits on the pricing of bauxite under the LTL arrangement" and that the High Court judgment is "susceptible to a successful challenge" ([RS], note 12).
What the reader should take from this is a three-way split. Provided: ₹400 crore, plus an earlier provision whose size is not in the documents. Demanded: ₹3,539 crore plus interest and GST. In the company's view, contingent on appeal: the rest. Our arithmetic: ₹400 crore is 11.3% of ₹3,539 crore; what fraction is provided in total cannot be said, because the earlier provision is not stated.
The first public word was the 1 October Regulation 30 letter, which says the writ petition was filed "challenging the provisions of bauxite linkage policy" and that the company is "reviewing the judgment and evaluating the next steps" ([HC]). The wording differs from note 12 (policy in the letter, pricing in the note); the filings do not say whether these are two aspects of one case. The 3 October demand does not appear among VAML's NSE announcements for October, so note 12 is where the amount first appears in the filings we read.
The mechanism: where the cost advantage comes from, and what sits outside it
The presentation's profitability bridge shows the integration working. Per tonne of aluminium, the company's realisation was $3,510 against $2,868, and its hot-metal cost split into alumina $739 (against $824), power $493 (against $565) and other hot-metal cost $490 (against $437) ([IP], slide 17). Alumina and power, the two largest lines, fell as a cost per tonne of metal by $85 and $72 (our arithmetic) while the London Metal Exchange (LME) price rose 23% to $3,226 ([IP], slide 26).
The bridge of EBITDA from a year earlier, in ₹ crore, adds LME 2,475, exchange rate 1,405 and commodity −141, then volume 214, "cost & marketing" 1,210 and "one off & others" −553 ([IP], slide 18). Market items, LME and exchange rate net of commodity, are ₹3,739 crore of the ₹4,610 crore rise, or 81% (our arithmetic; the company's own 67% is a share of last year's EBITDA). The cost line the integration would sit in is 26% of that rise (our arithmetic). In our reading, the advantage shows in the cost-per-tonne column and is small in the bridge.
Then the input in dispute. Alumina is made at the Lanjigarh refinery from bauxite. The presentation says "Domestic Bauxite Mix at 37% in Q2FY27 due to increased production volumes & consumption lag", down from 46% in Q1 and 52% a year earlier, and "Targeting 90%+ Domestic mix as we exit the year" ([IP], slide 14). Alumina production was a record 895 kt ([IP]). The presentation does not link the domestic mix to OMC, and does not say how much of the domestic bauxite is OMC's linkage supply. What it does say is that the target of 90% depends on new mines: Sijimali "Mining Lease has been executed" and "Consent To Operate (CTO) has been obtained", for commissioning in "H2FY27" ([IP], slide 15), with another bauxite block, Karlapat, for which the subsidiary BALCO has been declared "preferred bidder" (slide 4).
So the mechanism is this, and it is our reading. A cost moat from integration has two layers: assets you own, and contracts you rely on while you build them. The first layer shows up in cost per tonne. The second layer is where a price dispute can reach the income statement, either as a one-off, as here, or, if the price OMC says it is owed became the going rate, in the cost line. The filings give no basis to say which. They show the second layer exists, and that for now the company is a buyer under it.
Sizing it, with the limits stated
Every ratio below is our arithmetic and compares a claim of unknown period with a snapshot of a quarter or half-year, so it measures scale, not loss.
- ₹3,539 crore is 49.0% of standalone Q2 EBITDA of ₹7,229 crore ([RS]; [IP], slide 26). Against consolidated Q2 EBITDA of ₹10,192 crore it is 34.7%, and against first-half EBITDA of ₹20,691 crore it is 17.1%.
- Against total equity of ₹33,656 crore it is 10.5% ([RS], additional disclosures of financial ratios, item 9 of the notes). Against cash and equivalents of ₹6,318 crore ([IP], slide 4) it is 56%.
- The net-debt walk shows a dividend outflow of ₹3,124 crore in the quarter ([IP], slide 20), and the results say "total dividend declared for FY 2026-27 stands at ₹8" per share ([RS], note 13). The demand is 113% of that one quarter's dividend outflow.
- The company's sensitivity is "~₹ 2175-2225 crore/year" of EBITDA per $100 a tonne move in LME ([IP], slide 28). The demand is about 1.6 times the middle of that range.
Interest and GST are on top, and not sized. The margin effect is not computable from the filings: no volume, price per tonne or period is given.
Where this breaks
- The provision may already cover most of it. "Additional" means an earlier provision exists. If the earlier provision was large, ₹400 crore is a top-up and the unprovided exposure is smaller than ₹3,539 crore. The filings do not say. Nothing here shows a shortfall.
- The company may win. Management cites an "independent legal opinion" and "strong grounds on merits" ([RS], note 12). A reversal would leave the demand with no cash cost. We do not assess the law.
- One reported quarter shows a margin, not a moat. $1,646 a tonne is helped by an LME price up 23% and a currency move worth ₹1,405 crore of EBITDA. The guidance slide gives hot-metal cost of "$1,650-$1,700/t" with a footnote: "Anticipated additional impact due to war in H1FY27: 50-100 $/t" ([IP], slide 28). Q2's $1,722 and the half-year's $1,711 are both above the top of that range; the filings do not say how the range is reached.
- Domestic bauxite fell yet alumina cost held. Alumina cost of production was $378 a tonne against $379 a year earlier, while the domestic mix fell from 52% to 37% ([IP], slide 14). If imported bauxite costs about the same to the company as domestic, the integration advantage in bauxite is smaller than the "captive" label suggests; if it does not, something else offset it. The filings do not say which.
- Comparatives are rebuilt. The year-earlier figures are not as originally reported. VAML took over the Aluminium Division of Vedanta Limited under a demerger effective 1 May 2026, and its comparatives were "extracted from the books of account underlying the financial results of Vedanta Limited", then re-presented to include Bharat Aluminium Company (BALCO) as if acquired on 1 April 2025 ([RS], notes 3 and 8). "Profit doubled" compares a re-presented quarter with this one. The company's own 105% is on that basis.
- The auditors did not flag the matter. S R B C & CO LLP's review conclusion on the consolidated and the standalone statements is unmodified, and neither report has an emphasis-of-matter paragraph; the covering letter says "The report of the Auditors is with unmodified opinion" ([RS]). The review reports do not mention OMC. The review gives "moderate assurance", not audit assurance ([RS], review report, paragraph 3).
What Vedanta Limited's filings say
The reader's pointer asked whether the parent's filings carry the same note. They do not. Vedanta Limited's results of the same day contain no reference to OMC, the linkage arrangement or bauxite pricing ([VR], [VP]). The demerger took effect on 1 May 2026, and VAML ceased to be a subsidiary of Vedanta Limited on 4 May 2026, when its shares were allotted ([RS], note 3); VEDL shows Aluminium as a discontinued operation for 1 to 30 April only, and its note 5 says that all rights, obligations and contingent liabilities, "including proceedings before judicial and regulatory authorities", passed to the resulting companies from the effective date ([VR], note 5). VEDL's headline quarterly profit after tax of ₹6,202 crore ([VP]) is a different perimeter from VAML's ₹6,187 crore, and the two should not be added or compared.
VEDL's auditors, MSKA & Associates LLP, do carry an emphasis paragraph, on a different subject: "We draw attention to Notes 8 (a) and (b) to the accompanying Statement, regarding ongoing investigations by regulatory authorities including those relating to certain allegations made in a short seller report during the previous year", followed by "Our conclusion is not modified in respect of this matter." ([VR], review report on the consolidated results, paragraph 6). Note 8(b) records that the Enforcement Directorate "conducted a search and seizure operation under the Foreign Exchange Management Act, 1999" at the premises of the company and one subsidiary "from 1 June 2026 to 3 June 2026", and that "The Group has not received any further communication from ED in this regard." So the conclusion is unmodified, with the emphasis on regulatory investigations. Our reading: that paragraph is separate from the bauxite matter; it is in the parent's report, not VAML's, and names a short-seller report, not OMC.
Why it costs the reader something
For anyone weighing VAML's moat, the margin and the dispute are one question seen from two sides: how much of the cost advantage is owned and how much depends on a counterparty's price. The reported profit includes ₹400 crore of the demand and not the rest. The cost per tonne includes a bauxite mix that the company says will be 90%+ domestic by year-end, but the filings do not say whose bauxite that is. Taking "profit doubled" at face value misses note 12; treating ₹3,539 crore as a loss misses that management contests it.
What to watch
- Whether a Supreme Court stay is granted, and whether the total provided is ever disclosed.
- Domestic bauxite mix against the 90%+ target, as Sijimali commissions in H2 FY27.
- Hot-metal cost against the $1,650-$1,700 guidance, when Q2 is already $1,722.
The concrete thing, again
Page 8 of the results carries one paragraph that the press release leaves out. It says that the company's bauxite price is being fought in court, that ₹400 crore has been provided as an extra amount, and that ₹3,539 crore plus interest and GST is claimed. The margin in the deck is real. The contract in the note is unresolved. The filings show both, and size neither beyond the figures above.
